01 — Definitions

In these Terms and Conditions, the following terms apply:

• "Thoughtium", "we", "us", or "our" refers to Thoughtium, a business registered in Singapore at 10 Collyer Quay, #40-03, Ocean Financial Centre, Singapore 049315.
• "Services" refers to the AI consulting engagements offered by Thoughtium, including the Natural Language Understanding Audit, Generative AI Content Pipeline, and Federated Learning Architecture.
• "Website" refers to the website accessible at thoughiness.pro.
• "User", "you", or "your" refers to any individual or organisation accessing the Website or engaging Thoughtium's Services.
• "Agreement" refers to these Terms and Conditions together with any engagement-specific scope agreement.
• "Content" refers to all text, documentation, code, and materials produced by Thoughtium as part of an engagement.

02 — Acceptance of Terms

By accessing the Website or engaging Thoughtium's Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accessing the Website or engaging Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our Services. These Terms are governed by the laws of Singapore.

03 — Service Description

Thoughtium provides AI consulting services to business organisations in Singapore, comprising three defined service types:

• Natural Language Understanding Audit (SGD 380 — completed within 10 business days)
• Generative AI Content Pipeline (SGD 1,280 — six-week engagement)
• Federated Learning Architecture (SGD 2,550 — eight to twelve-week engagement)

The scope of each engagement is defined in a written scope agreement prior to commencement. Services are provided subject to availability and our assessment that the engagement is appropriate for your situation.

04 — User Responsibilities

When using the Website or engaging our Services, you agree to:

• Provide accurate information in all communications and form submissions
• Not use the Website for any unlawful purpose or in violation of Singapore law
• Not attempt to gain unauthorised access to any part of the Website or its infrastructure
• Provide timely access to information and systems required for the engagement, as agreed in the scope agreement
• Designate a responsible contact for each engagement who has authority to make decisions
• Not reproduce, distribute, or commercially exploit Thoughtium's Website content without written permission

05 — Intellectual Property

All content on the Thoughtium Website — including text, design, and methodology descriptions — remains the intellectual property of Thoughtium. You may not reproduce or distribute Website content without prior written consent.

Deliverables produced for client engagements (reports, blueprints, implementations, documentation) are assigned to the client upon full payment, unless otherwise specified in the scope agreement. Thoughtium retains the right to use anonymised methodological learnings from engagements for the improvement of its own services.

Third-party tools, libraries, or frameworks incorporated into engagement deliverables remain subject to their respective licences, which will be documented in the deliverable.

06 — Payment Terms

Fees for each engagement are fixed and stated in the scope agreement prior to commencement:

• NLU Audit: SGD 380, invoiced upon commencement
• Content Pipeline: SGD 1,280, invoiced 50% at commencement and 50% at completion
• Federated Learning Architecture: SGD 2,550, invoiced 50% at commencement and 50% at delivery of the technical blueprint

Payment is due within 14 days of invoice date. Late payments may attract interest at 5% per annum above the Singapore Overnight Rate Average (SORA). All fees are in Singapore Dollars and are exclusive of GST where applicable.

Scope changes are agreed in writing and priced separately before any additional work begins.

07 — Confidentiality

Both parties agree to treat confidential information shared during an engagement as strictly confidential. Thoughtium will not disclose client business information, data, or technical details to third parties without written consent. Clients will not disclose Thoughtium's proprietary methodologies, prompt engineering approaches, or engagement frameworks. Confidentiality obligations survive termination of the engagement for a period of three years.

08 — Disclaimers

The Website is provided "as is" without warranties of any kind. Thoughtium does not warrant that the Website will be available continuously or free of errors.

Thoughtium's Services represent professional consulting engagements. We provide considered assessments and recommendations based on available information, but we do not warrant specific performance outcomes. AI system performance depends on factors outside our control, including the quality of your underlying data and the technical environment into which recommendations are implemented.

Nothing in these Terms constitutes legal, financial, or regulatory advice. Clients are responsible for their own compliance obligations.

09 — Limitation of Liability

To the fullest extent permitted by Singapore law, Thoughtium's total liability arising from or in connection with any engagement shall not exceed the fees paid for that specific engagement.

Thoughtium shall not be liable for indirect, incidental, consequential, or punitive damages — including lost profits, data loss, or business interruption — even if advised of the possibility of such damages. This limitation does not apply in cases of fraud, wilful misconduct, or personal injury caused by negligence.

10 — Termination

Either party may terminate an engagement by providing written notice. In the event of client-initiated termination, fees are due for all work completed up to the termination date. Thoughtium may terminate an engagement immediately if the client materially breaches the scope agreement or these Terms.

Upon termination, provisions relating to intellectual property, confidentiality, payment, limitation of liability, and dispute resolution survive.

11 — Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, contact us at [email protected] and we will respond within five business days to discuss a resolution.

If informal resolution is not achieved within 30 days, disputes shall be referred to the Singapore Mediation Centre before any legal proceedings are initiated. These Terms are governed by the laws of Singapore, and the parties submit to the non-exclusive jurisdiction of the Singapore courts.

12 — General Provisions

These Terms constitute the entire agreement between you and Thoughtium regarding the subject matter herein, and supersede all prior understandings. If any provision is found unenforceable, the remaining provisions continue in full force. Thoughtium's failure to enforce any provision shall not constitute a waiver of that provision.

Thoughtium may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date. Continued use of the Website or Services following a change constitutes acceptance of the revised Terms.
